Welcome to Ayrton Digital. By accessing our website or engaging our services, you agree to comply with and be bound by the following terms and conditions. These terms govern the relationship between Ayrton Digital (“Agency,” “we,” “us”) and you (“Client,” “user”).
1. Scope of Services
Ayrton Digital provides professional services in digital automation, AI integration, and workflow orchestration. The specific deliverables, timelines, and costs for any project will be outlined in a separate Statement of Work (SOW) or Service Agreement.
2. Client Responsibilities
For us to maintain “high-performance” results, the Client agrees to:
- Provide timely access to necessary accounts, API keys, and internal data.
- Appoint a single point of contact for feedback and approvals.
- Ensure that all data provided to the Agency is legally obtained and does not infringe on any third-party rights.
3. Third-Party Platforms & API Dependencies
Our automated workflows rely on third-party software-as-a-service (SaaS) platforms and Artificial Intelligence models.
- Service Continuity: We are not responsible for service interruptions, API changes, or price increases initiated by third-party platforms.
- Maintenance: Unless a recurring maintenance plan is in place, any repairs required due to third-party updates after project delivery will be billed as a separate service.
4. Intellectual Property
- Client Ownership: Upon full and final payment, the Client owns the specific configuration of the workflows and AI tools built specifically for their project.
- Agency Know-How: Ayrton Digital retains ownership of its proprietary methodologies, pre-existing code snippets, and general “know-how” used to build the solution. We reserve the right to use non-identifying logic and techniques developed during the project for other clients.
5. AI Disclaimer
Ayrton Digital implements cutting-edge Artificial Intelligence logic. However, the Client acknowledges that:
- AI-generated content or data processing may occasionally contain inaccuracies (“hallucinations”).
- The Client is responsible for final review and verification of AI-generated outputs before they are used in a live business or legal capacity.
6. Payment Terms
- Invoicing: Payments are due according to the schedule outlined in your specific agreement.
- Late Payments: We reserve the right to suspend active workflows or withhold final deployment if payments are not made within the agreed-upon timeframe.
- Refunds: Due to the custom, labor-intensive nature of automation engineering, all payments are non-refundable once work has commenced.
7. Limitation of Liability
To the maximum extent permitted by law, Ayrton Digital shall not be liable for any indirect, incidental, or consequential damages—including loss of profits, data, or business interruption—arising out of the use or inability to use the automated systems we build. Our total liability is limited to the amount paid by the Client for the specific service in question.
8. Confidentiality
Both parties agree to keep all proprietary information, trade secrets, and business data strictly confidential. This obligation extends beyond the termination of the project.
9. Termination
Either party may terminate a project with written notice if the other party breaches these terms. Upon termination, the Client shall pay for all work completed up to the date of termination.
